Studio Rental Agreement - OC Standing Sets

Upon completing the agreement, a copy will be emailed to you for your records and review. Additionally, we will email you a copy marked “Agreed and Confirmed” with an invoice with payment instructions.

The booking is only finalized when agreement is completed and deposit is received. The studio is cleared for use only once final payment is received.

Terms and Conditions

You must read and agree to all of the following.

Please read and agree to the following. You will be sent a copy of this entire agreement, after it is approved.

Basic Studio Rules

1.	No adult/pornographic filming permitted.
2.	No smoking permitted inside.
3.	No live flames allowed.
4.	No fake blood, vomit, or liquids without pre-approval.
5.	No painting of sets allowed.
6.	Prop Weapons must be inspected by studio staff.
7.	No real weapons permitted. 
8.	Furniture/décor must be returned to original position.
9.	Cleaning Checklist: empty and take out trash to dumpster, remove food from fridge/kitchen, clean coffee machine, wipe counters, clean sweep, vacuum if necessary.

Subject to hard out by studio staff, removal, cancellation of service, and forfeiture of balance,  if deemed in violation of agreement.

You must agree and adhere to all of the above "Basic Studio Rules."

Compete Terms and Conditions

1.	50% Deposit required to reserve. Balance must be paid seven (7) days prior to start of shoot. If preferred.
2.	Cancellation within 31 days or more from the first day of production will result in a full refund; 15-30 days will result in loss of deposit; 14 days or less are non-refundable. Please note that our rentals are date specific and any date changes after the reservation is confirmed will be considered a cancellation of the original rental date. Any funds associated with that original date such as the initial deposit are non-refundable but may be used to arrange for a new rental within 180 days of originally scheduled shoot; thereafter, any funds paid will be forfeited.  Cancellations due to cast or crew members coming down with COVID-19 related illness or other illness will fall under our standard cancellation policy (we therefore strongly recommend having back up cast and crew available for every position in case this were to occur). 
3.	Studio time is calculated from when first person enters, until last person leaves. Studio bookings are for a 12-hour period. Overtime charges are $100/hr, and will be rounded up to the nearest 15 minute increment, and automatically billed to the card listed above. All prep and cleanup time needs to be completed within the 12 hours. If additional time is needed beyond what was originally booked it will be at the discretion of the studio staff and is not guaranteed.
4.	You are responsible for your own insurance to cover damage & liability and agree to replace or reimburse for damage within 48 hours. Also, this is a working sound stage, so there may be loose nails, sharp edges, power tools, wet paint, etc. While we make every effort to ensure a safe environment, use of the studio is at your own risk and liability. 
5.	You are responsible for any permits. Though we do not require a copy, you are responsible for obtaining any permits before your shoot. We are not liable for any expenses incurred, or refunding studio rental fees, if your production is halted by a police or fire dept official for lack of proper permit. 
6.	An additional $100/hour cleaning fee will be charged if cleaning checklist is not followed, and signed by staff after shoot. 
7.	COVID-19 Waiver: You are responsible for following Orange County health protocols in regards to film production and agree to provide cast & crew with necessary PPE supplies. 
8.	If for some reason, there’s a dispute that we can’t resolve, let’s agree not to sue each other into oblivion, and cap any legal damages at the total value of this contract, plus any property damage, and reasonable attorney costs of the prevailing party. 
9.	Authorization The above named client is engaging Koa Aloha Media located at 19400 Beach Blvd. Unit 8, Huntington Beach, California, 92648, USA, as an independent contractor for the specific purpose of sound stage rental for film production and/or photography.  Hereafter, the client will be known as the “Client” and Koa Aloha Media will be known as the “Studio.”  
10.	Payment Terms  A minimum deposit of one half (50%) of the total amount is required to reserve the studio. Final balance is due one week prior to first day of rental period. Any additional costs, such as overtime, cleaning fees, or damages, will be charged immediately to the credit card on file. If there are insufficient funds to cover costs, Client agrees to pay remaining balance within 24 hours.
11.	Insurance Requirements / Damage  Client agrees that they have obtained general liability insurance with a single occurrence limit of $1,000,000, and listed “Koa Aloha Media” as an additional insured. In the event of loss or damage to Studio premises or equipment, Client shall be provided an estimate for repair or replacement, and shall make payment in full within 48 hours, either directly or through their insurance provider.
12.	Film Permits  Since this is private property, in most instances a film permit is not required. However, you are responsible for obtaining any necessary permits before your shoot. We are not liable for any expenses incurred, or refunding studio rental fees, if your production is halted by a police or fire dept official.  
13.	Modifications To Studio  Client agrees to not make any structural changes or paint any sets. Any modifications to sets must be non-permanent and all areas used must be returned to their original condition prior to wrap.  Any new nail or screw holes in walls will be charged a repair fee ($5 per hole).
14.	Cleaning  Client agrees to follow the Cleaning Checklist provided by Studio, and ensure studio is returned to same condition it was in prior to arrival. An additional $100/hour cleaning fee will be charged if cleaning checklist is not followed, and signed off on by Studio staff after shoot.
15.	Laws Affecting Film & Video Production  The Client agrees that it is responsible for complying with the laws, taxes, and permit requirements related to film or video production, and will hold harmless, protect, and defend the Studio and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client’s use of Studio. Client also understands that Studio cannot provide legal advice.
16.	Limited Liability & Indemnification  Client agrees that any material created by, or at the Studio will not contain any content that is illegal or is generally considered to be in poor taste. Client hereby agrees to defend, indemnify and hold harmless the  Studio from any claim resulting from the Client’s publication of content or use of that content. Client also agrees to defend, indemnify and hold harmless the Studio against Liabilities arising out of any injury to person or property during, or caused by the Client’s shoot. This includes infringing on the proprietary rights of a third party, copyright infringement, and delivering any defective product or misinformation which is detrimental to another person, organization, or business. Also, this is a working sound stage and construction zone, so there may be loose nails, sharp edges, power tools, wet paint, etc. While we make every effort to ensure a safe environment, use of the studio is at your own risk and liability.
17.	Location Release  Upon payment in full, the Studio grants the Client, its assigns, agents, licensees, affiliates, clients, principals, and representatives the absolute right and permission to copyright, use, exhibit, display, print, reproduce, televise, broadcast and distribute, for any lawful purpose, in whole or in part, through any means without limitation, any scenes containing the above listed premises, all without inspection or further consent or approval by the undersigned of the finished product or of the use to which it may be applied.
18.	Credit  Although not required, a credit in the closing titles and/or IMDB is certainly appreciated. If you choose to do so, please credit us as “Koa Aloha Media”.
19.	Dispute Limits  Studio and Client agree to limit any dispute or claim to the total value of this agreement, plus any property damage and reasonable attorney costs of the prevailing party. Studio is not liable for any costs incurred by Client due to studio availability or cancellation of shoot, or malfunction of studio location or provided equipment.
20.	Arbitration  Any disputes in excess of $5,000 (or the current maximum limit for Orange County small claims court) arising out of this Agreement shall be submitted to binding arbitration before a single arbitrator familiar with entertainment law pursuant to the rules of the American Arbitration Association. The Arbitrator’s award shall be final, and judgment may be entered in any court having jurisdiction thereof. The Client shall pay all arbitration and court costs, reasonable attorney’s fees and legal interest on any award or judgment in favor of the Studio.
21.	Entire Understanding  This contract and the Appendices attached thereto constitute the sole agreement between the Studio and the Client regarding this project. It is the spirit of this agreement that this will be a mutually beneficial arrangement for the Client and the Studio.  Both parties warrant that they have read and understand the terms set forth in this agreement.  This agreement shall be governed and construed in accordance with the laws of the State of California.  Client, or authorized representative of the Client certifies that he or she is at least 18 years of age and legally capable of entering a contract in the State of California.

Within the Complete Terms and Conditions, you will also find the "Location Release."

I have general liability insurance for my production with a single occurrence limit of $1,000,000 and will list "Koa Aloha Media as additional insured. I will provide a copy of my insurance at least 24 hours of production.

I do not have general liability insurance; however, I will agree to list B. Luciano Barsuglia as a "Producer" in the movie credits and on IMDB to be covered under Koa Aloha Media's insurance policy; and I agree to abide by all studio rules and terms and conditions as outlined herein.

I do not have general liability insurance; however, I will be adhering to all Studio Rules, I have a crew of 8 or fewer people, and I will complete a credit card authorization for a $500 security deposit (charged if any instance of damage occurs or Studio Rules are not followed).

I do not have any blood or gore effects planned.

I do have blood and gore effects and understand that I must clean and leave the studio in the same (or better condition) than it was in when I arrived. I also understand that I will be required to leave a $500 security deposit in cash or through credit card authorization (charged if any instance of damage occurs, including but not limited to studio staff having to clean or replace or paint anything.

I do have blood and gore effects and will do my best to fully clean the studio, but I will also pay an additional $250 to have the studio staff clean the remnants.
